Welcome to Xorvex Technologies. These Terms & Conditions govern your access to and use of our web platforms, custom software development, digital marketing, and cloud engineering services.
Acceptance of Terms
By accessing our website (xorvextechnologies.com), engaging our software services, or executing a Statement of Work (SOW) with Xorvex Technologies, you agree to be bound legally by these Terms. If you represent an entity, you confirm that you hold proper authority to bind that enterprise.
Services & Deliverables Scope
Xorvex Technologies provides bespoke enterprise services including but not limited to:
- Custom Full-Stack Next.js & React Applications
- Cloud Infrastructure & MongoDB Database Engineering
- Meta Ads, SEO Growth & Conversion Optimization
- AI Automation Workflows & Autonomous Agents
Intellectual Property Rights & Code Ownership
Unless explicitly agreed upon in a custom written NDA/SOW:
- Client Ownership: Upon 100% final payment completion, all custom source code, design mockups, and client-specific assets authored specifically for the client transfer entirely to the client.
- Pre-Existing Frameworks: Xorvex Technologies retains ownership over proprietary baseline libraries, reusable utility modules, and pre-existing AI frameworks incorporated into the project.
Payment Terms, Retainers & Invoicing
Engagements operate on milestone-based disbursements or monthly retainers as specified in the proposal:
• Invoices are payable within 7 business days from date of issuance.
• Delayed payments beyond 15 calendar days may result in temporary suspension of active cloud deployments or code pushes until accounts are settled.
• All fees are exclusive of applicable statutory taxes (GST/TDS) unless stated otherwise.
Limitation of Liability
To the maximum extent permitted by law, Xorvex Technologies shall not be held liable for any indirect, incidental, consequential, or punitive damages (including loss of profits, data corruption, or third-party platform API outages such as Meta/Vercel server downtime) arising from project usage beyond the total contract value paid by the client.
Governing Law & Dispute Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal disputes or arbitrations arising from these terms shall fall under the exclusive jurisdiction of the competent courts in New Delhi, India.
